1. Introduction

Welcome to Liftigo ("we," "our," or "us"), a service provided by Hyper Automata Inc.. By accessing or using our website, mobile application, or software-as-a-service platform (collectively, the "Service"), you ("User," "Customer," or "Subscriber") agree to be bound by these Terms and Conditions ("Terms").

If you are entering into these Terms on behalf of a company or other legal entity (such as an Elevator Service Company or Facility Management Firm), you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Service.

1.1 Acceptance and Consent Record

When you create an account, you are required to explicitly accept these Terms and our Privacy Policy. We record your acceptance along with your IP address, browser information, and a timestamp to maintain an auditable consent record. This record may be used to demonstrate your agreement in the event of a dispute.

2. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts located in Toronto, Ontario for the resolution of any disputes arising out of or relating to these Terms, regardless of your physical location.

3. The Service

Liftigo provides an AI-powered diagnostic assistant, knowledge base management system, and collaboration tool designed for the vertical transportation industry. The Service utilizes third-party Artificial Intelligence ("AI") models to process text, images, and audio provided by the User.

3.1 Service Features

The Service includes the following capabilities, each subject to your subscription plan:

  • AI Chat Assistant: Text-based diagnostic conversations powered by third-party AI models, including standard and Deep Dive analysis modes.
  • Image Diagnostics: Upload or capture images of equipment using your device camera. Images are transmitted to third-party AI providers for visual analysis.
  • Voice Input: Record audio messages using your device microphone (up to 45 seconds per recording). Audio recordings are transmitted to third-party AI providers for transcription and processing.
  • Knowledge Base: Upload and index technical documents (PDF manuals, wiring diagrams) for AI-assisted retrieval.
  • Asset Management: Register and manage elevator, escalator, and related equipment records including serial numbers, locations, installation dates, and service notes.
  • Chat Export: Export conversation history as PDF documents for record-keeping.

3.2 Device Permissions

Certain features require access to your device hardware (camera and microphone). The Service will request these permissions through your browser. You may revoke these permissions at any time through your browser or device settings, though this will disable the corresponding features. No audio or image data is stored on our servers beyond what is necessary to process your request and store the resulting chat history.

3.3 AI Response Sources

The AI assistant first searches your organization's uploaded knowledge base — including technical manuals, notes, and verified solutions — for information relevant to your query. If sufficient information is not found in your organization's knowledge base, the system may generate responses using the general knowledge of the underlying large language model ("LLM") in use at that time. Such responses are not derived from your proprietary documents and may be less accurate or specific to your equipment.

Source attribution tags displayed alongside AI responses in the interface indicate whether a response was informed by your knowledge base or by the LLM's general training data. You should exercise additional caution and verification (as described in Section 4) when a response is sourced from the LLM's general knowledge rather than your organization's uploaded documentation.

4. CRITICAL SAFETY DISCLAIMER (READ CAREFULLY)

4.1 Not Professional Engineering Advice

The Service is an information retrieval and processing tool. It is NOT a substitute for professional engineering judgment, official Original Equipment Manufacturer (OEM) training, or certified safety protocols. Hyper Automata Inc. is a software provider, not a licensed elevator contractor or engineering firm.

4.2 Risk of Artificial Intelligence Errors ("Hallucinations")

You acknowledge that AI models may occasionally generate incorrect, misleading, or outdated information, commonly known as "hallucinations."

YOU AGREE TO VERIFY ALL INFORMATION: Before taking any physical action on machinery (including but not limited to cutting wires, jumping circuits, or adjusting parameters), you must verify the AI's suggestions against the official OEM Maintenance Manuals and wiring diagrams.

Hyper Automata Inc. is not liable for damage: We are not responsible for any equipment damage, service outages, personal injury, or death resulting from reliance on the Service.

4.3 Field Safety & Local Compliance

You agree that you are solely responsible for following all applicable local safety codes, regulations, and standards in your specific jurisdiction (including but not limited to ASME A17.1, CSA B44, EN-81, IS 14665, or other local equivalents) and workplace safety regulations (e.g., OSHA, WHMIS, HSE) while using the Service. Hyper Automata Inc. makes no representation that the Service is appropriate or compliant for use in every specific jurisdiction.

4.4 Professional Usage & Authorization

You represent and warrant that you and any authorized users of your account are licensed elevator mechanics, apprentices, or facility managers authorized to perform work on vertical transportation equipment under the laws of your jurisdiction (e.g., TSSA in Ontario). This Service is intended for use only by qualified professionals. Hyper Automata Inc. strictly prohibits the use of this Service by untrained individuals to attempt repairs on hazardous machinery. We accept no liability for accidents caused by unauthorized or untrained personnel utilizing this software.

5. Subscriptions, Billing, and Payments

5.1 Subscription Plans

The Service is billed on a recurring subscription basis (Monthly or Yearly). You agree to pay the fees applicable to your selected plan ("Subscription Fee").

5.2 Payments

We use a third-party payment processor to handle payments. You authorize us (and our payment processor) to charge your designated payment method for the Subscription Fee at the start of every billing cycle.

5.3 No Refunds

All payments are non-refundable and non-transferable. Hyper Automata Inc. does not provide refunds or credits for any partial subscription periods, unused services, or accidental renewals.

5.4 Upgrades and Downgrades

Upgrades: If you upgrade your plan (e.g., Essential to Professional), the change takes effect immediately. You will be charged a prorated amount for the remainder of the cycle.

Downgrades: If you downgrade your plan, the change will take effect at the end of your current billing cycle. You will not receive a refund for the difference.

5.5 Cancellation

You may cancel your subscription at any time via Billing & Usage in the application dashboard. Your access will continue until the end of the current billing period, after which your account will be downgraded or suspended.

5.6 Fair Usage Policy & Throttling

Each subscription plan includes daily and monthly usage allocations for standard messages, Deep Dive queries, image analysis, and PDF uploads. These limits are designed to ensure fair access for all users and maintain service quality.

Throttling: When your usage reaches 90% of a daily or monthly allocation, your service may be throttled (response times may increase). When you reach 100% of an allocation, that specific feature will be temporarily disabled until the limit resets. Daily limits reset at the start of each UTC day; monthly limits reset at the start of each calendar month (UTC).

Feature Availability: Certain features (such as Deep Dive mode and PDF uploads) are only available on specific plans. A dash (—) or disabled control in the interface indicates that a feature is not included in your current plan.

We reserve the right to modify usage allocations at any time. Material changes to allocations will be communicated via email or in-app notice at least 14 days before taking effect.

5.7 Seat-Based Access

Access to the Service is managed through a seat-based model. Organization administrators ("Admins") purchase seats for specific plans and invite team members to fill those seats. Each seat corresponds to one individual user. Seat sharing is prohibited — each team member must occupy their own seat.

6. Data Ownership and Privacy

6.1 User Content

You retain all ownership rights to the manuals, PDFs, chat logs, asset records, and other data you upload or generate within the Service ("User Content"). User Content includes but is not limited to: uploaded technical documents, chat conversations, AI-generated responses, equipment asset records (serial numbers, locations, service notes), images captured or uploaded, and voice recordings.

6.2 License to Hyper Automata Inc.

You grant Hyper Automata Inc. a limited, non-exclusive, worldwide license to host, copy, transmit, and display your User Content solely as necessary to provide the Service to you.

6.3 Data Isolation & AI Training

Private Data: We use logical isolation to ensure your uploaded proprietary manuals are accessible only to your Workspace.

No Public Training: Hyper Automata Inc. does not use your proprietary manuals to train our public-facing foundation models or share them with other tenants.

6.4 Data Retention

We retain User Content for the duration of your active account to facilitate historical diagnostics.

Chat History: All chat conversations (including AI-generated responses) are permanently stored for the lifetime of your account to provide historical context and audit trails. Individual users cannot delete chat history. Organization Admins may request bulk data deletion by contacting support.

Cancellation: If you cancel your subscription, we may retain your data for a grace period of 90 days to allow for reactivation. After this period, data may be permanently deleted.

Sunset Clause: In the event Hyper Automata Inc. ceases operations, we will provide at least 30 days' notice to allow you to export your data.

6.5 Data Export

The Service provides the ability to export chat conversations as PDF documents. Exported data remains your User Content and is subject to these Terms. You are responsible for the security and distribution of any exported files. Hyper Automata Inc. is not liable for the handling of User Content once it has been exported from the Service.

7. Third-Party Services

The Service integrates with various third-party infrastructure and AI providers. By using the Service, you acknowledge that your data may be processed by:

  • Cloud Infrastructure & Hosting: Industry-standard cloud providers for application hosting, databases, and file storage.
  • Authentication: Third-party authentication services for secure user login and session management.
  • AI & Processing: Enterprise-grade large language models and vector processing services for generating diagnostic responses.
  • Payments: Third-party payment processors for secure subscription billing and transaction processing.
  • Email Delivery: Third-party email services for transactional communications (account verification, invitations, alerts).

Hyper Automata Inc. is not responsible for the availability, performance, or security breaches of these third-party providers, though we take commercially reasonable steps to select secure vendors.

8. User Conduct

You agree not to:

  • Use the Service to violate any local, provincial, or federal laws.
  • Upload copyrighted manuals that you do not have the right to use.
  • Attempt to reverse engineer, decompile, or hack the Service.
  • Share your login credentials with unauthorized users (account sharing is prohibited — each user must have their own seat).
  • Circumvent or attempt to circumvent usage limits, throttling mechanisms, or plan restrictions.
  • Use the Service to generate content for purposes unrelated to vertical transportation equipment maintenance and diagnostics.

8.1 Administrator Responsibilities

If you are an organization administrator ("Admin"), you are responsible for: (a) ensuring that all team members you invite are authorized professionals as described in Section 4.4; (b) managing seat assignments and plan allocations appropriately; (c) promptly revoking access for team members who are no longer authorized to use the Service; and (d) ensuring that your organization's use of the Service complies with these Terms. The Admin account holder accepts liability for the actions of all team members within their organization.

9. Account Suspension and Termination

9.1 Termination by Hyper Automata Inc.

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe that:

  • You have violated any provision of these Terms.
  • Your use of the Service poses a security risk to us or other users.
  • Your account is being used by unauthorized or untrained individuals (in violation of Section 4.4).
  • You have engaged in fraudulent activity or initiated an unjustified chargeback.
  • Your payment method has failed and remains unresolved after reasonable notice.

9.2 Effect of Termination

Upon termination: (a) your right to access the Service ceases immediately; (b) we are under no obligation to refund any fees paid; (c) we may retain your data in accordance with Section 6.4 (Data Retention) and applicable legal requirements. Sections 4, 6, 10, 11, 12, 16, and 17 shall survive termination of these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Hyper Automata Inc. expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any warranty that the Service will be uninterrupted, timely, secure, or error-free.
  • Any warranty regarding the accuracy, reliability, or completeness of AI-generated content.
  • Any warranty that the Service will meet your specific requirements or expectations.

You expressly acknowledge that AI-generated diagnostic information may be inaccurate, incomplete, or inappropriate for your specific equipment or situation. Your use of any information obtained through the Service is entirely at your own risk.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Hyper Automata Inc., its directors, employees, partners, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • (i) your access to or use of or inability to access or use the Service;
  • (ii) any conduct or content of any third party on the Service;
  • (iii) any content obtained from the Service; and
  • (iv) unauthorized access, use, or alteration of your transmissions or content.

In no event shall Hyper Automata Inc.'s aggregate liability exceed the greater of one hundred Canadian dollars ($100 CAD) or the amount you paid Hyper Automata Inc. in the past two (2) months.

12. Indemnification

You agree to defend, indemnify, and hold harmless Hyper Automata Inc. from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • (i) your use of and access to the Service;
  • (ii) your violation of any term of these Terms;
  • (iii) your violation of any third-party right, including without limitation any copyright or privacy right.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or a prominent notice on the Service. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

14. Transactional Communications

By creating an account, you consent to receive transactional emails from Liftigo AI necessary for the operation of the Service. These include but are not limited to: account verification emails, password reset links, team invitation notifications, subscription and usage warnings, knowledge base indexing confirmations, and service report exports. These communications are essential to the Service and cannot be opted out of while your account is active.

15. International Use and Export Compliance

15.1 Compliance with Local Laws

Hyper Automata Inc. makes no representation that the Service is appropriate or available for use in locations outside of Canada. If you access the Service from outside Canada, you do so at your own initiative and are responsible for compliance with local laws.

15.2 Export Restrictions

You represent and warrant that you (i) are not located in a country that is subject to a Canadian or U.S. government embargo, or that has been designated by the Canadian or U.S. government as a "terrorist supporting" country; and (ii) are not listed on any Canadian or U.S. government list of prohibited or restricted parties. You agree not to use the Service in violation of any export control laws.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, which shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Cancellation & Refund Policy, constitute the entire agreement between you and Hyper Automata Inc. with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and Hyper Automata Inc. regarding the Service. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
